By using the services, you, as customer or user, agree irrevocably with the existing terms of use. In case you do not agree with the clauses of the current document, please stop using the services.
Customers who approach partZpro's suppliers, sponsors, partners, directors, officers, and employees by email, agree that the entire terms of use (current document) apply to them as a registered user on our website.
To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our website and the use of our website. Nothing in this disclaimer will:
partzpro.com and partzpro-webapp.com are owned and operated by Creative Objex LLC (doing business as "partZpro"). Throughout the site, the terms "we," "us," "partZpro," and "our" refer to the company. partZpro offers to two websites, including all information, tools, and services available from both websites to you, the customer, conditioned upon your acceptance of all the provisions stated here.
By visiting our websites and/or purchasing a product from us or our users, you engage in our "service" and agree to be bound by the following terms of use ("Terms of Use", "Terms"), including those additional terms of use and policies referenced herein and/or available by the current document.
These Terms of Use apply to all users of the site, including without limitation users who are browsers, customers.
Any new features or tools which are added to the current sites shall also be subject to the terms of use. You can review the most current version of the terms of use at any time on this page. We reserve the right to update, change, or replace any part of these terms of use by posting updates or changes to our websites. It is your responsibility to check this page periodically for changes. Your continued use of or access to the site following the posting of any changes constitutes acceptance of those changes.
By using our services, you agree to comply with all applicable U.S. laws and regulations. You also certify that any 3D or 2D file uploaded to the partZpro websites does not violate any federal law or regulation including those pertaining to firearms, or applicable standards maintained by regulatory bodies in the industry. partZpro may block you from usage at any time, with or without notice, for conduct that is in breach of this agreement, for conduct that we believe is harmful to our business, or for conduct where the use of the service is harmful to any other party. partZpro, in its sole discretion, can change or modify this agreement at any time, with or without notice. Such changes or modifications shall be made valid for all users upon posting of the modified agreement to the web address above. You are responsible to read this document from time to time to ensure that your use of the service remains in compliance with this agreement.
partZpro works like an e-commerce website but also as a marketplace, thus combining the best of the two functions into one complete set of services. We have created the website services in such a manner that they are available for users to either buy from us or find one another, enter into service relationships, make and receive payments through escrow, and receive and provide specific services. You may be required to register with us to access the service or certain areas of the service whereby registering, you can either select to become a customer or a supplier.
With respect to any registration, you agree not to use, and we may refuse to grant you the right to use, a user name (or email address) that is already being used by someone else; that may be construed as impersonating another person; that belongs to another person; that personally identifies you; or that violates the intellectual property or other rights of any person; that is offensive; or that we reject for any other reason in our sole discretion. You may also be able to sign into the service or use or access certain features of the service by using a third-party social networking platform account (such as Facebook, Google+ or Twitter).
As a user, you represent and warrant that you are at least 18 years of age to use this service. If you are under 18 years of age, you may use
partZpro only with the involvement of a parent or guardian. We may, in our sole discretion, refuse to offer the services to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these terms and conditions are in compliance with all laws, rules, and regulations applicable to you, and the right to access the services is revoked where these terms of use or use of the services are prohibited or to the extent offering, sale, or provision of the services conflicts with any applicable law, rule, or regulation. We may ask suppliers for legal documents regarding the necessary company registration data when they sign up to the platform or during the use of the platform at any time. Your registration information (including your user name and password, and any social networking account with which you sign into the service) is for your personal use only and not for use by any other person. You are responsible for maintaining the confidentiality of any password you may use to access the service, and agree not to transfer your password or user name, or lend or otherwise transfer your use of or access to the service, to any third party. You are fully responsible for all interaction with the service that occurs in connection with your registration information (including, without limitation, all purchases). You agree to immediately notify us of any unauthorized use of your registration information or any other breach of security related to your account or the service, and to ensure that you "log off"/exit from your account with the service (if applicable) at the end of each session. We are not liable for any loss or damage arising from your failure to comply with any of the foregoing obligations. If you sign into the service using a third-party social networking platform account, be sure to review the privacy and data usage policies of such platforms to learn more about its personal information practices and your options.
You are specifically restricted from all of the following:– Publishing our platform materials in any other media;– Selling, sub-licensing, or otherwise commercializing any website material;– Publicly performing or showing any website material;– Copying our platform algorithms;– Using our platform and services in any way that is or may be damaging to our websites;– Using our platform and services in any way that impacts user access to our websites;– Using our platform and services contrary to applicable laws and regulations, or in any way may cause harm to the platform, or to any person or business entity;– Engaging in any data mining, data harvesting, data extracting, or any other similar activity concerning this website; Any breach of the restrictions above will entitle partZpro to use any means necessary to protect our business.
The services offered by partZpro are made up of different services provided through the websites, and we carry out our operations globally. One of our services enables our customers to upload their manufacturing 3D models and 2D drawings onto our websites to get quotes from their selected suppliers. Customers can choose their suppliers by going to the supplier's profile page on our platform. Customers can opt partZpro by sending an email or via partZpro portal to submit their 3D and 2D models to one of its registered suppliers. Registered suppliers on our platform will turn the customer's 3D models or 2D drawings into physical parts. Customers upload 3D models or 2D drawings on one of the supplier's profile pages through our websites before manufacturing. Customers will choose one of our registered suppliers, locally or globally, and they will give you a quote based on our algorithms and business model. If customers are happy with the quoted price and delivery time, they can then place an order with partZpro to produce it for you by using the chosen supplier at the customer's direction. Upon completion of the customer's request, the supplier ships the order to the customer's address that is provided by them before making the order payment.
Sometimes there may be delays in receiving raw materials, machinery breakdown, flight delay, or in international shipping cases, custom delays, or in the event of force majeure or other unforeseeable events beyond one's control (such as and not limited to: acts of war, government authority, terrorism, disaster, strikes, civil disorder, curtailment of transportation or transportation facilities, or any other emergency or event beyond control), partZpro or its supplier are discharged from their obligations without this giving rise to compensation. However, we agree to inform the other party via all possible means to limit all possible damage or inconvenience.
It should also be noted that partZpro doesn't accept parts that are subject to ITAR or EAR, so you should take note of that and be fully informed before sharing your data with us.
Due to security reasons, we may decide to remove all previous customer order submissions from our servers in a timely manner (we haven't set up the intervals yet) so they won't have access to see their previous orders details on our websites. We make parts per customer 3D models and drawings, and we are not responsible for their design to work.
partZpro allows Customers and Suppliers to negotiate a price for specific products, protected by the security of our escrow payments system. Both Customers and Suppliers benefit from using partZpro as a neutral third party to monitor and transact the exchange of payment and merchandise. partZpro reduces the risk of fraud by acting as a trusted third-party that collects, holds, and only disburses funds when both Customers and Suppliers are satisfied. Customers and Suppliers agree to terms, then begin a transaction. After registering at partZpro, all parties agree to the terms of the purchase. Customer pays partZpro - The Customer submits a payment by approved payment method to our secure account, partZpro verifies the payment, the Supplier is notified that funds have been secured 'In Escrow'. Supplier ships merchandise to Buyer - Upon payment verification, the Seller is authorized to send the merchandise and submit photos of merchandise and tracking information. partZpro verifies that the Customer receives the merchandise. Customer accepts merchandise - The Customer has a set number of days to inspect the merchandise and the option to accept or reject it. The Customer agrees with the merchandise - partZpro pays the Supplier - partZpro releases funds to the Supplier within 15 days from the Customer's acceptance. - partZpro pays the Supplier. For each direct sale, partZpro charges a platform fee (including payment gateways). partZpro reserves the right to change the fee in the future or charge customers who work directly with us. Only the best quote price/lead time/ (request for quote) RFQ response gets offered to customers from factories that work with us unless the customer chooses to work with a specific Supplier. partZpro would submit more quotes if the customer had requested in their RFQ. Being a partZpro supplier does not create a binding, and both partZpro and Suppliers can terminate cooperation at will. We rate suppliers based on being responsive to RFQs, pricing (we consider their region and country), quality, and after-sales service. Suppliers who lose their ratings, their account will be closed from our platform. Suppliers need to sign a Non-Disclosure Agreement (NDA) with partZpro.
In case the Customer requires an NDA before any contractual engagement with the Supplier, it is in their sole responsibility to contact partZpro and know to review if we can sign an NDA for their project. All data uploaded by the users on our servers, to which the contractual parties have access, is strictly confidential. partZpro cannot access or use such confidential information, and it is in no way, directly or indirectly, responsible for any loss of data caused by the nonexistence or the breach of such an agreement between the contractual parties (the Customer and the Supplier).
The amount indicated on the ordering page includes the fee for the service (such as our fees, packing, and shipping the part), the price for the materials used to produce the 3D model, and, if applicable, the markup charged by the manufacturer. The price quoted on the website includes shipping costs, sales tax (if applicable). Import taxes are excluded, and Customers in each country are responsible for paying the import taxes in their country. partZpro uses PayPal to receive and make payments for the marketplace services. No card information (except cardholder name and address) touches our servers. So, we don't keep credit card information such as credit card number and security code. If you pay in a currency that is different from the denominated currency of your payment method (which is probably the case if your bank or credit card account is not denominated in U.S. Dollars), your payment company (such as your credit or bank card issuer) may apply a currency conversion rate or fees to your payment. Please contact your provider for information about these fees. These fees are not controlled by or known to partZpro. partZpro offers the platform and services for your business purposes only and not for personal, household, or consumer use, and it creates the possibility for users to find one another, enter into commercial relationships and make and receive payments through escrow. Any contractual relationship between users created through the use of the partZpro services remains valid as long as it is developed through the use of the platform. Any direct contact or relationship outside of the platform will result in the breach of contract with us, and we reserve the right to take any action necessary against such users, to protect our commercial interests. All payments made by parties outside of the platform will result in the breach of contract, and we reserve the right to suspend or cancel or ban such user accounts and to take any action necessary against such users, to protect our commercial interests.
Your order will be delivered to your shipping address provided when making payment for the order. We deliver our products globally. We will use our commercially reasonable efforts to ship your order to the shipping address within the delivery time indicated in your quote; nevertheless, depending on your shipping address, it may take a longer time, and delivery costs may differ. Any shipping and delivery dates given by us are only best estimates, and we are not liable for any damage or cost caused by delay in shipping or delivery. Shipping details for the products contracted on our marketplace are agreed separately between the Customer and the Supplier. In this case, the Supplier is responsible for shipping and delivery of the products directly to the Customer.
11. Cancellation of your order
Due to the customized nature of our services (i.e., the 3D model is supplied to the Supplier based on your specifications), you cannot cancel your order after it goes into production, except in a case whereby the Supplier produces something entirely different from your specification. In such cases, after careful observation of the incident and confirmation that the error is from the Manufacturer, we shall strive to ensure that the Manufacturer reproduces your order according to your specification, and we shall ensure your maximum satisfaction.
partZpro warrants only that the model produced by our Suppliers will substantially meet the features of the indicated 3D model and 2D drawing within the limitations of the manufacturing technologies. You maintain sole legal responsibility for the design specifications and performance of the part that is the subject of this transaction. partZpro does not give any warranty about the 3D models and 2D drawings themselves and does not guarantee that the 3D model and 2D drawing will be fit for any particular purposes. Please, inspect the order upon receipt immediately. If the part is faulty when you received it and you believe you are entitled to a replacement in accordance with the warranty above, please contact us within three days after receipt of the order. Such warranty claim can be made only within three days after receipt of the part by you. Do not return the order unless we require you to do so. We reserve the right to condition any replacement or refund on the return of the product. We will confirm whether you are entitled to a replacement or refund. We reserve the right to condition your receipt of a replacement or refund on you providing us with photographs that we deem necessary to evaluate your claim. The Supplier will bear transportation costs in respect of a faulty product. If we do not receive any notice within the provided three days, we will assume the product meets your specifications and performance requirements.
For any disputes arising from the contractual relationships between the Customers and the Suppliers, Customers should refer to PayPal and report the Manufacturers to partZpro. Manufacturers' accounts that have complaints from Customers, depending on their resolution outcome with the Customer, can be suspended for a certain period or indefinitely.
THE SERVICES AND CONTENT ARE PROVIDED "AS IS", "AS AVAILABLE" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES IMPLIED BY ANY COURSE OF PERFORMANCE OR USAGE OF TRADE, ALL OF WHICH ARE EXPRESSLY DISCLAIMED. WE, AND OUR DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, PARTNERS, AND CONTENT PROVIDERS DO NOT WARRANT THAT: (I) THE SERVICES WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (III) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE PRECEDING LIMITATIONS MAY NOT APPLY TO YOU. PLEASE NOTE THAT, UNLESS OTHERWISE STATED IN THE DESCRIPTION FOR A SPECIFIC MATERIAL, THE MATERIALS USED FOR MANUFACTURING THE 3D MODELS MAKE THE 3D MODELS SUITABLE ONLY FOR DECORATIVE PURPOSES AND THEY ARE NOT SUITED FOR ANY OTHER PURPOSE. THE 3D MODELS ARE NOT SUITED TO BE USED AS TOYS OR TO BE GIVEN TO CHILDREN. THE 3D MODELS SHOULD NOT COME IN CONTACT WITH ELECTRICITY OR FOOD OR LIQUIDS AND SHOULD BE KEPT AWAY FROM HEAT.
You may use the site only for lawful purposes and in accordance with these terms of use. You agree not to use the site in any way that violates any applicable federal, state, local, or international law or regulation. To exploit, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise. To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," or "spam," or any other similar solicitation. To impersonate or attempt to impersonate
partZpro, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of those above). To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the site, or which, as determined by us, may harm partZpro or users of the site or expose them to liability.

You agree to indemnify and hold partZpro, its suppliers, sponsors, partners, directors, officers, and employees harmless from and against, and to reimburse partZpro with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs, and expenses (including reasonable related expenses, legal fees, fees of investigation) arising out of or relating to your breach of this agreement or use by you or any third party of the services.
If, at our request, you send certain specific submissions (for example, contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments. We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these terms of use. Users agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the service or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions. If any part of this agreement is found to be invalid or unenforceable under applicable law, such part will be ineffective to the extent of such invalidity or unenforceability only, without affecting the remaining parts of this agreement in any way.

If partZpro permits the registration of an account on its websites, it will remain open indefinitely, subject to these terms of use. If you breach these terms of use or if we reasonably suspect that you have breached these terms of use in any way, we may:

23. Limitation of liability
In no event will partZpro be responsible or liable to you or anyone else for, and you hereby knowingly and expressly waive all rights to seek, direct, indirect, incidental, special, or consequential damages of any type, and any rights to have damages multiplied or otherwise increased, arising out of or in connection with the app or the content, even if we have been advised of the possibility of such damages, and regardless of whether the claim is based upon any contract, tort, or other legal or equitable theory.

To the maximum extent permitted by applicable law, you hereby release and waive all claims against partZpro, and its subsidiaries, affiliates, officers, agents, licensors, co-branders, or other partners, and employees from any and all liability for claims, damages (actual and/or consequential), costs, and expenses (including litigation costs and attorneys’ fees) of every kind and nature, arising from or in any way related to your use of partZpro.
